Paige Johnson called the meeting to order at 12:10. The conference room was connected to the bridge at 12:15.

Nancy Shoemaker, acting treasurer, gave the financial report. She noted that neither the 2005 budget (approved in Nov. 2004) nor the current financial statements have been modified to show the board's approval of a $40,000 fundraising campaign (also approved Nov. 2004). In addition to the financial accounting, the report included a list of donors since 2002 and the status of organization's membership renewals.

Arlene McKay announced the slate of candidates as prepared by the Governance Committee:

There were no nominations from the floor. Veronica Butcher moved that the slate be accepted by acclamation. The motion was seconded and approved without dissent. Thanks to Arlene McKay, Milan Pham and Sharon Worthington whose terms as Directors-at-Large are ending on June 30. [The new board membership (including continuing members) has been posted.] Note that Nancy Shoemaker is serving as Secretary and acting Treasurer. Anyone willing to serve in either of those positions is encouraged to contact her or a member of the Governance Committee.

Veronica Butcher reported for the Program Committee. There were 13 Agenda Assemblies involving more than 450 women. Additional topics were proposed (see web site). More than 700 women participated in person or virtually at the 2005 Women's Advocacy Day.

Jennifer Bumgarner gave the Membership Committee Report.

Nancy Shoemaker gave the Communications Committee Report. It was clarified that items posted to alerts@ncwu.org should have an action associated with them.

There was a general discussion of how our meetings should be structured.

June Kimmel announced that she will be retiring on May 31. A new director for the Council for Women/Domestic Violence Commission started on May 2. She will switch to representing the League of Women Voters as its primary representative.

Members updated the Committee List and the NCWU Directory and those changes have been posted.
